Jardine C&C Gifts Shareholders Toyota Shares. What to Do With It?

If you held Jardine Cycle & Carriage (JC&C) shares, a small gift from Japan is on its way. Not cash. Actual shares of Toyota.

Lovely, until the paperwork shows up. Toyota trades in Tokyo, in yen, in blocks of 100, and there is a form with a deadline attached. So let’s break down what you are getting and what to do with it.

A quick note on names. JC&C is now called Jardine Matheson Southeast Asia (JMSEA), so that is the name you will see on your documents. We stick with JC&C in this article to keep things familiar.

tl;dr The form is due by 5.00 p.m. on 4 November 2026, and doing nothing does not get you cash. If you hold fewer than about 5,474 JC&C shares, you would receive a partial unit of Toyota that generally cannot be sold on the Tokyo exchange, so the Cash Sale is likely the easier route. If your JC&C shares are held under SRS or CPFIS, the Cash Sale is your only option.

What is JC&C giving shareholders?

JC&C declared a special dividend in two parts. It comes on top of the US$0.28 interim dividend.

  • US$0.37 in cash for every JC&C share.
  • 7,226,200 Toyota shares, about 0.05% of Toyota, shared out pro rata. That works out to about 0.01828 Toyota share for each JC&C share.

In plain English, 1,000 JC&C shares gets you 18 Toyota shares. Anything less than a whole share is rounded down. JC&C sells all the leftover fractions and pays you the cash.

Shareholders approved the special dividend at the EGM on 1 October, with 100.00% of votes cast in favour. The record date was 9 October, so you qualify if you held JC&C shares at 5.30 p.m. that day.

How much is it worth?

Using Toyota’s closing price of ¥3,224 and an exchange rate of ¥164 to US$1 on 29 July, JC&C valued the whole package at about US$0.73 per JC&C share. About US$0.37 of that is cash and about US$0.36 is Toyota. Those are 29 July numbers though. Toyota’s price moves every day, so your actual amount will differ.

Here is JC&C’s own illustration for a few holdings.

Source: JC&C announcement, 30 July 2026. The Cash Sale column is the sale proceeds for the whole entitlement, fractions included, and is on top of the cash dividend. These illustrations use Toyota’s price of ¥3,224 and an exchange rate of ¥164 to US$1. Actual proceeds will depend on the sale price and exchange rate.

What are your two options?

JC&C despatched an Instruction Form and a cover letter to shareholders on 16 October. You have two options, and no mixing. You cannot take half in Toyota shares and half in cash. Your instruction is irrevocable once submitted. SRS and CPFIS holders, and Excluded Overseas Shareholders, are automatically treated as choosing the Cash Sale.

Option 1. Take the Toyota shares

First, you need somewhere to put them. You can use an account with Japan’s securities depository, but that needs a mailing address and standing proxy in Japan. For most of us, the practical route is a broker or custodian that can hold shares listed on the Tokyo Stock Exchange. Ask your own broker if it supports this. If it does not, JC&C’s FAQ lists DBS Vickers and Phillip Securities as brokers that have been informed about the transaction.

There are two steps.

  1. Send the signed Instruction Form to JC&C’s share registrar.
  2. Separately, instruct your own broker or custodian to receive the Toyota shares on the transfer date, currently expected to be 2 December 2026. Shares will reach your designated account on settlement, two Tokyo market days after that transfer date.

Skip the second step and the shares cannot be credited to your account. JC&C covers the transfer fees, but not what your broker charges to receive or hold the shares.

Option 2. The Cash Sale

JC&C’s broker sells your entire Toyota entitlement on the Tokyo exchange, and you receive the proceeds in US dollars. JC&C pays the brokerage commission and dealing costs.

The catch is the price. The sale happens as soon as reasonably practicable after the instructing period ends, so you get whatever Toyota trades at then, converted at the exchange rate when JC&C pays out. The cash dividend and fractional proceeds are expected to be paid on 2 December 2026.

How and when to submit

Send the completed, signed form to Boardroom Corporate & Advisory Services, JC&C’s share registrar, by email at JCCL@boardroomlimited.com or by post to 1 Harbourfront Avenue, #14-07, Keppel Bay Tower, Singapore 098632. It must reach them by the announced deadline of 5.00 p.m. on Wednesday, 4 November 2026.

What happens if I do nothing?

For shareholders eligible to receive Toyota shares, no form, or a form filled in wrongly, does not mean you get cash. You still get your Toyota shares, but JC&C holds them in your name on your behalf.

You can claim them later by contacting the share registrar, or by asking JC&C to sell them. JC&C plans to send reminders, with a final one after Toyota releases its full-year results, which it expects around May 2027. If you still don’t respond, JC&C will sell the shares on a best efforts basis and hold the proceeds for you to claim.

Nothing is lost, but the shares could sit with JC&C for months.

Which option makes sense for you?

It depends on how many JC&C shares you hold and where you hold them.

If you…Then…
Hold fewer than about 5,474 JC&C sharesYou will receive fewer than 100 Toyota shares, which is a partial unit. These generally can’t be sold on the Tokyo exchange in the ordinary course. JC&C’s circular suggests thinking carefully about the Cash Sale.
Hold about 5,474 JC&C shares or more, and want ToyotaTaking the shares is a fair option, since you get a full unit with no purchase cost. You still need a broker or custodian that can hold Tokyo-listed shares.
Hold JC&C under SRS or CPFISToyota is a foreign security that SRS and CPFIS arrangements don’t allow, so the shares have to go through the Cash Sale. Your agent bank handles it.
Hold JC&C through a bank, broker or nomineeThey submit the form on your behalf. Contact them early to confirm the submission process and any internal deadline.
Had a registered address outside Singapore on 9 OctoberExcluded Overseas Shareholders will not receive a form and will receive cash instead. US-based holders can only get shares if they are an accredited investor or qualified institutional buyer and send an investor letter.

Why the 100-share unit matters

Toyota follows Japan’s unit share system, where 100 Toyota shares make up one unit. Partial units carry no voting rights and generally can’t be sold on the exchange. The one exit JC&C describes is through an individual Japanese depository account, where you can ask Toyota to buy the partial unit back at that day’s closing price. As mentioned, that account needs a Japan mailing address and standing proxy, so it is unlikely to be practical for most Singapore-based investors.

What about tax and costs?

For Singapore investors, the US$0.37 cash and the Toyota shares are both one-tier tax-exempt dividends, so no Singapore income tax. JC&C also bears any stamp duty on the transfer. What you pay yourself are the fees on your side, such as your broker’s charges for receiving or holding the shares, or for receiving the Cash Sale proceeds. If you’re thinking of holding Toyota for dividends, do take note that an ~15% dividend withholding tax applies for SG investors.

Your to-do list

  1. Check how many JC&C shares you held at 5.30 p.m. on 9 October, then multiply by 0.01828 to see your Toyota entitlement.
  2. Decide between taking the shares and the Cash Sale. If you hold under SRS or CPFIS, it is the Cash Sale.
  3. If you want the shares, ask your broker whether it can hold Tokyo-listed shares, and what it charges.
  4. Fill in and sign the Instruction Form.
  5. Submit it by 5.00 p.m. on 4 November. If you want the shares, also give your broker the receiving instructions listed on the form.
  6. Look out for payment and the share transfer around 2 December.
  7. Questions about the form? JC&C has an FAQ page and a toll free helpline on +65 800 1012587. You can also email JCC@cm.mpms.mufg.com.

The bottom line

This is a one-off, and JC&C leaves Toyota entirely once it is done. Jardine Matheson, which holds about 87% of JC&C, confirmed that it would not participate in the Cash Sale for its Toyota entitlement, so only a fraction of the 7.2 million shares will reach the market through the Cash Sale.

For most retail holders, the Cash Sale is probably the simple path. If you do want Toyota in your portfolio and hold enough to make a full unit, start sorting out the account now. Whichever you pick, send the form in before 5.00 p.m. on 4 November.
